EXPLANATORY STATEMENT
 
This Registration Statement on Form S-8 registers 12,500,000 additional shares of common stock, par value $3.00 per share, of El Paso Corporation, the same class of stock for which Registration Statement No. 333-126599 was filed on Form S-8 on July 14, 2005 relating to the El Paso Corporation 2005 Omnibus Incentive Compensation Plan.  The contents of such earlier Registration Statement are incorporated by reference herein.
