Item 8.01. Other Matters This Form 8-K updates disclosures previously made by Telephone and Data Systems, Inc. ("TDS") and its subsidiary, United States Cellular Corporation ("U.S. Cellular"), on Forms 8-K dated November 6, November 13, November 15, November 22, December 8, 2006 and January 12, 2007 relating to the restatement of certain financial statements and delayed filing of their Quarterly Reports on Form 10-Q ("Form 10-Q") for the period ended September 30, 2006. On November 6, 2006, TDS and U.S. Cellular disclosed that they will restate their financial results for each of the three years in the period ended December 31, 2005, including quarterly information for 2005 and 2004, and certain selected financial data for 2002. TDS and U.S. Cellular also disclosed that they will restate their Forms 10-Q for the periods ended March 31, 2006 and June 30, 2006 (collectively, "the restatements"). As a result of the restatements, TDS and U.S. Cellular also disclosed that they would delay the filing with the Securities and Exchange Commission of their Forms 10-Q for the period ended September 30, 2006. As previously disclosed, the restatements and delayed filings have resulted in non-compliance with listing standards of the American Stock Exchange ("AMEX"). TDS and U.S. Cellular previously received extensions to regain compliance with the AMEX listing standards until January 22, 2007. On January 19, 2007, the AMEX granted TDS and U.S. Cellular extensions until February 12, 2007 to regain compliance with AMEX listing standards. On January 22, 2007, TDS and U.S. Cellular issued a joint press release relating to the foregoing, which is attached hereto as Exhibit 99.1 and incorporated by reference herein. Item 9.01.
