Item 2.02.

Results of Operations and Financial Condition

 

On February 15, 2006, Tyson Foods, Inc. (the “Company”) issued a press release announcing plans to improve the Company’s beef production efficiency by permanently closing its beef processing plant in Norfolk, Nebraska, and beef slaughtering plant in West Point, Nebraska. The press release includes estimated charges expected to be incurred in the second quarter of fiscal 2006, as well as revised earnings guidance for fiscal 2006. The press release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.
